On May 18, 2005, the Court of Chancery of the State of Delaware in and for New Castle County declined to approve a proposed settlement of certain stockholder derivative litigation that was disclosed by Fairchild on Form 8-K filed April 1, 2005. Fairchild is currently considering all options available to it with respect to this matter.
