Item 2.02. Results of Operations and Financial Condition.
On February 22, 2007, St. Bernard Software, Inc., a Delaware corporation (“St. Bernard”), issued a press release announcing, among other things, its unaudited financial results for the fiscal year ending December 31, 2006. These unaudited financial results are subject to ongoing year-end audit procedures and possible related adjustments. No assurance can be given that any required adjustments to these financial results will not be material. A copy of the press release is attached as Exhibit 99.1 to this Current Report.
