Supplement to Proxy Statement
In the proxy statement for the 2010 Annual Meeting of Shareholders of DineEquity, Inc. dated April 12, 2010, Howard M. Berk was inadvertently omitted from the list of members of the Nominating and Corporate Governance Committee of the Board of Directors that appears twice on page 16 of the proxy statement. Patrick W. Rose, who was succeeded by Mr. Berk as a member of the Nominating and Corporate Governance Committee in 2009, was inadvertently included on such lists.
