OTHER EVENTS

On November 3, 2008, Espre Solutions, Inc. (the “Company”), issued a press release announcing that it had agreed to acquire Blideo, Inc., a private company doing business as OpenACircle.com.  A copy of this press release is being furnished as Exhibit 99.1 to this Current Report on Form 8-K.
