ITEM 1.01. ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT
On September 12, 2005, Arrow Electronics, Inc. (the "Company") entered into
an employment agreement ("Agreement") dated as of September 12, 2005, by and
between the Company and J. Edward Coleman. The Agreement is attached hereto as
Exhibit 10.1 and is incorporated herein by reference.
