EXPLANATORY NOTE
This current report on Form 8-K/A is being filed as an amendment to the current report on Form 8-K filed by the Company on February 8, 2011, for the sole purpose of disclosing the Companys decision as to how frequently the Company will include a shareholder advisory vote on executive compensation in its proxy materials.
Item 5.07 | Submission of Matters to a Vote of Security Holders |
At the Companys annual meeting of shareholders on February 2, 2011, the Company held an advisory vote on the frequency of an advisory vote on executive compensation. A majority of the votes cast by the Companys shareholders were in favor of holding an advisory vote on executive compensation once every three years. In light of the shareholder advisory vote and after considering the matter, the Companys Board of Directors has determined that the Company will hold a shareholder advisory vote on executive compensation once every three years until the next required vote on the frequency of shareholder advisory votes on executive compensation.
