This Schedule 13G (this “Schedule 13G”) is being filed on behalf of Fir Tree, Inc., a New York corporation (“Fir Tree”), relating to Shares, Par Value 3.15 CHF per Share (the “Shares”), issued by Noble Corporation, a Switzerland corporation (the “Issuer”), purchased by certain private investment funds for which Fir Tree serves as the investment manager (the “Funds”).

Fir Tree may be deemed to beneficially own the 21,000,000 Shares (consisting of 7,500,000 Shares and American-style call options to purchase 13,500,000 Shares) held by the Funds as a result of being the investment manager of the Funds.

Fir Tree beneficially owns 21,000,000 Shares, which represents approximately 8.3% of the Shares outstanding. This percentage is determined by dividing the number of Shares beneficially held by Fir Tree, by 253,225,668, the number of Shares issued and outstanding as of February 11, 2013, as reported in the Form 10-K filed by the Issuer with the Securities and Exchange Commission on February 25, 2013.

Fir Tree has been granted investment discretion over the Shares held by the Funds, and thus, has the shared power to direct the vote and disposition of 21,000,000 Shares.
