Item 8.01 Other Events.
On May 21, 2018, FireEye, Inc. (the “Company”) issued a press release announcing the pricing of its offering of $525.0 million aggregate principal amount of 0.875% convertible senior notes due 2024 (the “Notes”) in a private placement to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended. The Company also granted the initial purchasers of the Notes a 13-day option to purchase up to an additional $75.0 million aggregate principal amount of the Notes. A copy of this press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
