Item 5.02.  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 30, 2010, the Board of Directors (the “Board”) of Vail Resorts, Inc. appointed Hilary Schneider to serve on the Board.  Ms. Schneider was also appointed to serve as a member of the Compensation Committee of the Board.

A copy of the press release announcing the appointment of Ms. Schneider to the Board is attached hereto as Exhibit 99.1 and incorporated herein by reference.
