ITEM 8.01 OTHER EVENTS
     On November 14, 2007, Delphi Corporation (“Delphi” or the “Company”) announced that it has reached agreement with General Motors Corporation (“GM”) and its Plan Investors on potential amendments to its Joint Plan of Reorganization, the Global Settlement Agreement and Master Restructuring Agreement with GM, and the Company’s Investment Agreement with Plan Investors. Delphi filed these proposed amendments on November 14, 2007 with the United States Bankruptcy Court for the Southern District of New York (the “Court”) as revisions to the appendices to the Company’s Disclosure Statement. Conforming potential amendments to the Disclosure Statement will be filed with the Court no later than November 16, 2007. These filings are being made in accordance with a scheduling order entered by the Court last week to continue the Disclosure Statement hearing on November 29, 2007. The potential amendments remain subject to approval of the Court and satisfaction of various conditions set by the Plan Investors. A copy of the press release, which describes the nature of the proposed amendments, is attached as exhibit 99(a) hereto and incorporated herein by reference.
