At the 2009 Annual Meeting of Shareholders on January 28, 2009, the Company’s shareholders approved an amendment to the Company’s 1993 Stock Incentive Plan (the “Plan”) that increased the number of shares reserved for issuance under the Plan from 7,200,000 shares to 12,200,000 shares.  Additional information regarding the Plan is contained in the Company’s Proxy Statement dated December 17, 2008 for the 2009 Annual Meeting of Shareholders.  A copy of the Plan, as amended, is attached hereto as Exhibit 10.1.
