Item 5.02                                           Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On March 23, 2016, the board of directors of BeiGene, Ltd. approved performance-based cash bonuses for the year ended December 31, 2015 for each of (i) John V. Oyler, Chief Executive Officer and Chairman, in the amount of $172,352, (ii) Howard Liang, Chief Financial Officer and Chief Strategy Officer, in the amount of $48,650 (pro rata bonus for the portion of the year employed), and (iii) RuiRong Yuan, Chief Medical Officer and President of Global Clinical Research and Development, in the amount of $26,267 (pro rata bonus for the portion of the year employed).
