Item 5.02(d) Election of Directors.
This Current Report on Form 8-K/A amends certain information included in a Current Report on Form 8-K filed by Union Pacific Corporation (the Company) on April 5, 2016, regarding the election of Jane H. Lute to the Board of Directors of the Company (the Board) on April 5, 2016. The Board did not appoint Ms. Lute to serve on any of its committees at the time of her election. At a regular meeting of the Board held on July 28, 2016, the Board appointed Ms. Lute to serve on the Audit Committee and Corporate Governance and Nominating Committee.
