PART III NARRATIVE
State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.
On November 10, 2008, all of the direct and indirect wholly-owned subsidiaries (collectively, the Debtors) of Storm Cat Energy Corporation (the Company) filed a voluntary petition for reorganization (the Reorganization Cases) under Chapter 11 of the United States Bankruptcy Code (the Code) in the United States Bankruptcy Court for the District of Colorado (the Bankruptcy Court). The Reorganization Cases do not include the Company. The Reorganization Cases are being jointly administered under Case No. 08-27887 ABC. The Debtors continue to operate their businesses as debtors-in-possession under the jurisdiction of the Bankruptcy Court and in accordance with the applicable provisions of the Code and orders of the Bankruptcy Court.
The Companys Quarterly Report on Form 10-Q for the quarter ended June 30, 2009 could not be filed within the prescribed time period, as the closing of the books and the process of preparing the Companys financial statements for the quarter ended June 30, 2009 has been delayed due to the focus of the Companys resources on the bankruptcy process, negotiation with creditors, potential sale of assets, and open accounting issues (i.e., impairment analyses) as a result of the ongoing bankruptcy process. The Company cannot predict when or if, based upon resolution of the Reorganization Cases, it expects to complete its review and file its Quarterly Report on Form 10-Q for the quarter ended June 30, 2009.

For the reasons set forth above regarding the Reorganization Cases and limited resources, the Company is unable to provide a reasonable estimate of its results of operations for the quarter ended June 30, 2009. Accordingly, the Company cannot at this time estimate what significant changes would be reflected in its results of operations for such period compared to prior periods. The Company needs to perform an impairment analysis related to certain of its tangible and intangible assets, which is not yet complete given the status of the Reorganization Cases and the process to sell assets as approved by the Bankruptcy Court. As a result, at this time the Company cannot predict the scope of significant changes in results of operations from the corresponding period for the last fiscal year or the Companys balance sheet at December 31, 2008 given the Company has yet to file its Annual Report on Form 10-K for the year ended December 31, 2008 due to the Reorganization Cases.
