Item 5.07. Submission of Matters to a Vote of Security Holders.
(a) TriMas Corporation (the Corporation) held its Annual Meeting of Shareholders on May 10, 2010 (Annual Meeting).
(b) There were a total of 33,911,604 shares of the Corporations common stock outstanding and entitled to vote at the Annual Meeting and there were 33,073,927 shares of common stock represented in person or by proxy at the Annual Meeting, which constituted a quorum to conduct business at the meeting.
The items voted upon at the Annual Meeting and the results of the vote on each proposal were as follows:

Based on the votes set forth above, each of the nominees were elected as directors, the proposal to ratify KPMG LLP as the Corporations independent registered public accounting firm for 2010, and the increase in the number of shares reserved for issuance under the 2006 Long Term Equity Incentive Plan by 1,000,000 shares were adopted by the shareholders of the Corporation at the Annual Meeting.
