(b) On October 4, 2010, Marc Beilinson informed the board of directors (the Board) of Apollo Commercial Real Estate Finance, Inc. (the Company) of his intention to leave the Board. Mr. Beilinson intends to leave the Board before the end of the year or earlier if a replacement independent director is identified and appointed to the Board. Mr. Beilinson announced his intention to resign from the Board to enable him to focus on bringing about a successful restructuring of InnKeepers USA Trust where he serves as the chief restructuring officer. Mr. Beilinsons decision to resign was not due to any dispute or disagreement with the Company on any matter relating to the Companys operations, policies or practices.
