Item 8.01 Other Events.
On June 27, 2014, Regency Energy Partners LP (the “Partnership”) issued a press release announcing that the Partnership and Eagle Rock Energy Partners, L.P. (“Eagle Rock”) received confirmation that the Federal Trade Commission (the “FTC”) voted to close its investigation into the previously announced approximately $1.3 billion acquisition by the Partnership of Eagle Rock’s midstream business. This satisfies the final regulatory approval required for closing. As a result, the Partnership and Eagle Rock intend to close the transaction effective 12:01 a.m. July 1, 2014.
