(1) | On November 17, 2014, the Issuer effected a one-for-four reverse stock split of its Common Stock (the "Reverse Stock Split"). The exercise prices and number of securities beneficially owned were adjusted by multiplying or dividing each by four, as applicable, to reflect the Reverse Stock Split. |
(2) | The Stock Options ("Options") were granted under the Issuer's Long-Term Incentive Plan. The Options vested over five years: 20% on October 10, 2007 and 20% on each of October 10, 2008, 2009, 2010 and 2011. |
