State below in reasonable detail the reasons why the Form 10-K, 11-K, 20-F,
10-Q, N-SAR, N-CSR, or the transition report or portion thereof, could not be
filed within the prescribed time period.
EXPLANATION:
The Company is unable to complete the financial statements required for its
quarterly report on Form 10-QSB for the period ending June 30, 2004 because
of difficulties in accounting at the Company's J & B Wholesale Produce, Inc.
subsidiary.
