(b) On August 29, 2018, the Board of Directors accepted the resignation of Erin Lantz from her position as a director of Washington Federal, Inc., and its wholly owned subsidiary, Washington Federal, N.A. Her decision to resign was due to the potential conflict of interest that could result from her position at Zillow Group, Inc., which recently announced its planned acquisition of Mortgage Lenders of America, LLC, a loan origination company. Ms. Lantz also served as a member of the Risk Management and Regulatory Compliance Committees. Ms. Lantz’ resignation was not a result of any disagreement.
