ITEM 7.01 REGULATION FD DISCLOSURE.
On October 31, 2005, Munder Capital Management (“Munder”), a subsidiary of the registrant, announced that Framlington Holdings Limited, which is 49 percent owned by Munder’s United Kingdom subsidiary, Munder UK, L.L.C., and 51 percent indirectly owned by HSBC Holdings plc, completed the sale of its 90.8 percent interest in London-based Framlington Group Limited to AXA Investment Managers.
On October 31, 2005, the registrant issued a press release regarding this matter. A copy of the press release is attached hereto as Exhibit 99.1.
