Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
 
On August 15, 2006, Lantronix, Inc. (the “Company”) issued a press release announcing the retirement of Jim Kerrigan, which will be effective before calendar year end 2006. The Company is currently conducting an extensive executive search, and following his retirement, Mr. Kerrigan will continue to assist the Company in an advisory role to ensure a smooth transition.
