Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 11, 2013, Washington Real Estate Investment Trust (“WRIT”) received the resignation of Trustee Terence C. Golden from WRIT's Board of Trustees. Mr. Golden advised that his personal and business activities no longer make it possible for him to devote the time necessary to serve on WRIT's Board of Trustees.
