Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Amendment to Short-Term Incentive Plan

On March 18, 2019, the Compensation Committee (the “Committee”) and Board of Trustees of Washington Real Estate Investment Trust (the “Trust”) approved a written amendment to the Short-Term Incentive Plan (the “Plan”) to replace “Core FAD” with “Leasing Targets” (defined as the aggregate annual leasing target amount (measured in square feet of leasing space) as approved by the Committee for the performance period in question with respect to the office and retail properties of the Trust) as a performance metric under the Plan. The amendment is effective as of March 18, 2019, for performance periods beginning on or after January 1, 2019.
