(1) | Restricted Stock Award granted under the NextWave Wireless Inc. 2005 Stock Incentive Plan (the "2005 Plan"). The shares granted in the award remain subject to forfeiture on the terms set forth in the award and will become non-forfeitable upon (i) the repayment or retirement in full, whether through redemptions, repayment at maturity date or conversion, by NextWave Wireless Inc. (the "Company") of the Company's Third Lien Subordinated Secured Convertible Notes due 2011 ("Third Lien Notes"), or (ii) if earlier, a change in control of the Company or a termination of Mr. Harding's employment or service with the Company by the Company without cause or by Mr. Harding for good reason. The shares subject to the awards will be forfeited if the Third Lien Notes are not repaid or retired in full prior to the expiration of the award, which has a term of 10 years in accordance with the 2005 Plan. |
