Item 8.01 Other Events

On February 16, 2011, Federated National Insurance Company, a wholly-owned subsidiary of 21st Century Holding Company received approval of a rate increase for its homeowners' insurance program within the State of Florida. The rate increase, which will result in an average premium increase of approximately 20.0% statewide, was approved by the Florida Office of Insurance Regulation. The effective dates for the rate increase are March 23, 2011 for new business and April 14, 2011 for renewal business.
