Entry into a Material Definitive Agreement On September 27, 2006, United States Steel Corporation (the "Corporation") entered into a Second Amended and Restated Receivables Purchase Agreement (the "New RPA") and a First Amendment to the Purchase and Sale Agreement dated September 27, 2006 (the "Amendment"). These agreements amend the Corporation's existing receivables program to extend the term to September 27, 2009 and provide for the issuance of letters of credit. This program initially provides up to $500 million in liquidity for the Corporation through the sale of trade accounts receivable into a commercial paper conduit program. The New RPA is filed herewith as Exhibit 10.1. The Amendment is filed herewith as Exhibit 10.2 Item 9.01.
