A description of the common stock, $2.00 par value, of Peoples Financial Services Corp., a Pennsylvania corporation (the “Registrant”) is set forth under the heading “Description of Peoples’ Common Stock” contained in the Registrant’s registration statement on Form S-4 (File No. 333-190587) as initially filed with the Securities and Exchange Commission (the “Commission”) on August 13, 2013, as amended (the “Registration Statement”), and in the prospectus included in the Registration Statement filed separately by the Registrant with the Commission pursuant to Rule 424(b) under the Securities Act of 1933, as amended, which description is incorporated by reference herein.
