Item 1.01. Entry into a Material Definitive Agreement.
On November 10, 2006, the registrant entered into an amendment to its credit facility with
Union Bank of California, N.A. The amendment modified the calculation of cash flow to eliminate the
effect of a specific balance sheet adjustment and decreased the minimum required current ratio.
This amendment was effective as of September 30, 2006 and for the quarter then ended. A copy of the
amendment is attached hereto as Exhibit 99.1.
