Associates:
I am very pleased to share that Anthem has reached a definitive agreement to acquire Cigna Corporation, a combination that will further Anthems vision to be Americas valued health partner. This is truly a compelling opportunity to positively impact the health and wellbeing of our members and advance our commitment to expand access to high quality, affordable health care for consumers. When the transaction is completed, the combined company will retain the Anthem name and serve over 53 million members across our states, the country, and the world.
Anthem and Cignas businesses and capabilities are highly complementary, which will allow the combined company to deliver unparalleled value to individuals, employers, state and Federal governments, and international customers through:
● | The ability to offer a broader spectrum of personally relevant, high-value products and services to a more diverse customer base and access to an expanded network of hospitals, physicians, and health care professionals; |
● | Supplementing Anthems best-in-class commercial businesses with Cignas complementary capabilities to serve individuals and large and small employers; |
● | Combining Cignas innovative specialty capabilities with Anthems growing specialty business to meet new and increasing consumer demands for affordable and integrated dental, vision, and life and disability coverage options; |
● | Advancing a shared commitment to providing innovative and sustainable solutions for the nations growing Medicare, Medicaid, and Dual Eligible populations and those served through the health insurance exchanges; and |
● | The application of insights and best practices of Cignas international presence to better identify, mitigate, and prevent disease here and abroad. |

The acquisition also closely aligns with our three strategic pillars, and will deliver meaningful value to consumers and shareholders through: expanded provider collaborations; enhanced affordability and cost of care management capabilities; and superior innovations that deliver a better, more personalized health care experience for consumers.
Following the close of the transaction, which is expected to take place in the second half of 2016, I will remain as CEO of our company and will also assume the additional role of Chairman of the Board. David Cordani, Cignas current President and CEO, will join Anthems executive leadership team and serve as President and Chief Operating Officer. I have known David for many years and consider him a gifted and thoughtful businessperson and a talented leader. I look forward to working closely with David to ensure the combined organization best leverages the strengths of each company.
It is important to note that although an agreement has been reached, the companies will continue to operate separately until the transaction closes. As we move forward, while some Anthem associates will be involved in the integration process, it is critical that we all remain focused on our business priorities and on continuing to deliver value and exceptional service to our customers.
I recognize that many of you may have questions about this acquisition, and I have recorded a video message to provide you with additional information. I will also be hosting a Town Hall for all associates this afternoon and you will receive more information about times and locations in a separate communication later today.
The acquisition of Cigna provides Anthem with a tremendous opportunity as well as a responsibility to improve the health and wellbeing of our members and the entire health care system. I am confident that your continued focus and dedication will help us follow through on this important and meaningful commitment that guides Anthem to future success. Thank you for all you do for our company and our customers. I look forward to working with you as we strengthen our vision to be Americas valued health partner.
Sincerely,
Joe
