(1) These shares may be represented by the Registrants American depositary shares (ADSs), each of which represents two Class A ordinary shares of the Registrant. The Registrants ADSs issuable upon deposit of the Class A ordinary shares registered hereby have been registered under separate registration statements on Form F-6 (File No.: 333-195849 and File No.: 333-200954).
(2) Pursuant to Rule 416(a) under the Securities Act of 1933, as amended (the Securities Act), this registration statement also covers an indeterminate number of additional shares which may be offered and issued to prevent dilution from share splits, share dividends or similar transactions as provided in the Plan. Any Class A ordinary shares covered by an award granted under the Plan (or portion of an award) that terminates, expires or lapses for any reason will be deemed not to have been issued for purposes of determining the maximum aggregate number of Class A ordinary shares that may be issued under the Plan.
(3) These shares represent ordinary shares that have been and will be added to the award pool at the beginning of each of 2018 through 2023 pursuant to an evergreen provision in the Share Incentive Plan (the Plan), and are reserved for future award grants under the Plan. The corresponding proposed maximum offering price per share, which is estimated solely for the purposes of calculating the registration fee under Rule 457(h) and Rule 457(c) under the Securities Act, is based on US$24.445 per ADS, the average of the high and low prices for the Registrants ADSs as quoted on the Nasdaq Global Select Market on February 21, 2019.
Explanatory Note
JD.com, Inc. (the Registrant) filed a registration statement on Form S-8 with the Securities and Exchange Commission (the Commission) on September 5, 2014 to register the maximum number of Class A ordinary shares issuable upon exercise of options and pursuant to other awards granted under the Plan as of the filing date, except for the Class A ordinary shares issued under the Plan that had been previously registered or were exempted from registration.
As the Plan contains an evergreen provision that the maximum number of Class A ordinary shares issuable under the Plan increases by a number equal to 1% of the total number of outstanding shares as of the last day of the immediately preceding fiscal year on the first day of each fiscal year during its term starting from January 1, 2018, this registration statement on Form S-8 is therefore filed by the Registrant to register the additional Class A ordinary shares issuable under the Plan as a result of the increase of maximum number of shares on January 1, 2018 and 2019, as well as the estimated increases as of January 1, 2020, 2021, 2022 and 2023.

Cayman Islands law does not limit the extent to which a companys articles of association may provide for indemnification of directors and officers, except to the extent any such provision may be held by the Cayman Islands courts to be contrary to public policy, such as to provide indemnification against civil fraud or the consequences of committing a crime. The Registrants amended and restated articles of association, adopted by its shareholders on March 6, 2014, provides that the Registrant shall indemnify each of its directors and officers against all actions, proceedings, costs, charges, expenses, losses, damages or liabilities incurred or sustained by such director or officer, other than by reason of such persons own dishonesty, willful default or fraud, in or about the conduct of the Registrants business or affairs (including as a result of any mistake of judgment) or in the execution or discharge of his duties, powers, authorities or discretions, including without prejudice to the generality of the foregoing, any costs, expenses, losses or liabilities incurred by such director or officer in defending (whether successfully or otherwise) any civil proceedings concerning the Registrant or its affairs in any court whether in the Cayman Islands or elsewhere.
Pursuant to the indemnification agreements, the form of which was filed as Exhibit 10.2 to the Registrants registration statement on Form F-1, as amended (File No. 333-193650), the Registrant has agreed to indemnify its directors and executive officers against certain liabilities and expenses incurred by such persons in connection with claims made by reason of their being such a director or officer.
Two Underwriting Agreements, the form of which were filed as Exhibit 1.1 to the Registrants registration statement on Form F-1, as amended (File No. 333-193650) and as Exhibit 1.1 to the Registrations registration statement on Form F-1, as amended (File No. 333-200450) respectively, also provide for indemnification by the underwriters of the Registrant and its directors and officers for certain liabilities, including liabilities arising under the Securities Act, but only to the extent that such liabilities are caused by information relating to the underwriters furnished to the Registrant in writing expressly for use in such registration statements and certain other disclosure documents.
