Item 8.01 Other Events.

On July 22, 2010, UGI Corporation announced that its wholly-owned subsidiary, UGI Energy Services, Inc., signed a definitive agreement to sell its wholly-owned subsidiary, Atlantic Energy, Inc., to DCP Midstream Partners, LP for $49 million plus inventory and other working capital. Atlantic Energy, Inc. owns and operates a marine import terminal with 20 million gallons of above ground storage in the Port of Chesapeake, Virginia.
