On November 13, 2012 GrafTech International Ltd. issued a press release announcing that it intends to offer $300 million aggregate principal amount of unsecured Senior Notes due in 2020 (the "Notes") in a private offering, subject to market and other conditions. The Notes will be unconditionally guaranteed on a senior basis by the Company's existing and future subsidiaries that guarantee certain other indebtedness of the Company. A copy of the press release is furnished as Exhibit 99.1 hereto and is incorporated herein by reference.
