Item 5.02.		Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 31, 2011, AIG announced that Peter D. Hancock, currently AIG Executive Vice President, Finance, Risk and Investments, was named Chief Executive Officer of Chartis, AIG’s global property casualty business, succeeding Kris P. Moor, who was named Vice Chairman of Chartis.

Item 7.01.		Regulation FD Disclosure.

On March 31, 2011, AIG announced that Peter D. Hancock, currently AIG Executive Vice President, Finance, Risk and Investments, was named Chief Executive Officer of Chartis, AIG’s global property casualty business, succeeding Kris P. Moor, who was named Vice Chairman of Chartis. A copy of the press release announcing these changes is attached as Exhibit 99.1 to this Current Report on Form 8-K and incorporated into this Item 7.01 by reference.
