Item 8.01 Other Events.
On August 1, 2012, SurModics, Inc. issued a press release announcing its intention to commence a tender offer on or about August 6, 2012 to purchase up to $55 million in value of its common stock through a modified “Dutch auction” tender offer. A copy of the press release is filed as Exhibit 99 hereto and is incorporated herein by reference.
