Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

        On September 8, 2006, James R. Giertz submitted his resignation as Senior Vice President, Commercial and Industrial of Donaldson Company, Inc. (“Donaldson”). On September 11, 2006, Donaldson announced Mr. Giertz’s departure and the promotion of Charles J. McMurray to the position of Senior Vice President, Industrial Products, Technology, and South Africa.

        A copy of the press release that discusses these matters is filed as Exhibit 99.1 to, and incorporated by reference in, this report.
