Certain selling stockholders may offer and sell shares of our Class A common stock from time to time in amounts, at prices and on terms that will be determined at the time of any such offering.
The Class A common stock is listed on the New York Stock Exchange under the symbol "IHS." The last reported sale price of the Class A common stock on May 18, 2007 was $39.19 per share.
IHS has two classes of common stock outstanding: Class A common stock and Class B common stock. The rights of the Class A common stock and Class B common stock are identical, except with respect to voting and conversion. Each share of Class A common stock is entitled to one vote per share. Each share of Class B common stock is entitled to ten votes per share and is convertible into one share of Class A common stock at any time at the option of the holder or automatically upon the earlier of the occurrence of specified events or November 16, 2009.
As of the date of this prospectus, our principal stockholder, Urvanos Investments Limited, a wholly-owned subsidiary of TBG Holdings N.V., owned 100% of our Class B common stock and approximately 2% of our outstanding Class A common stock. In the aggregate, this ownership represented approximately 76% of the voting power of our outstanding capital stock (compared to approximately 25% of the overall economic interest).

Voting and investment decisions with respect to our common stock that is owned by Urvanos have historically been made by TBG. As a result, TBG controls all matters requiring stockholder approval, including amendments to our certificate of incorporation, the election of directors, and significant corporate transactions, such as transactions involving a change of control of IHS. TBG is indirectly wholly-owned by TB Continuity II Trust, of which Georg Heinrich Thyssen-Bornemisza is the sole primary beneficiary. Georg Heinrich Thyssen-Bornemisza is the chairman of the board of directors of TBG. Jerre L. Stead, our chief executive officer and the chairman of our board of directors, is a member of the board of directors of TBG. In addition, prior to our initial public offering, C. Michael Armstrong, Roger Holtback, and Michael Klein, all members of our board of directors, were members of the board of directors and an advisory committee of TBG. TBG or its shareholder may have interests that conflict with yours and actions may be taken that you do not view as beneficial.
Under Delaware law, the directors of a corporation owe fiduciary duties to all stockholders of the corporation, not just to the controlling stockholders. In addition, a majority of our board of directors is "independent" of management, as defined by the New York Stock Exchange rules and regulations. As of February 28, 2007, there were 44,826,213 shares of Class A common stock and 13,750,000 shares of Class B common stock outstanding. Immediately after the reorganization of The Thyssen-Bornemisza Continuity Trust described under "Selling StockholdersTrust Reorganization," TBG indirectly owned an aggregate of 958,859 shares of Class A common stock and all 13,750,000 shares of Class B common stock. Immediately after this trust reorganization, Tak Tent (F) Limited owned 2,000,000 shares of Class A common stock and Augustus Limited owned 3,500,000 shares of Class A common stock. Tak Tent (F) Limited (and its permitted transferees) may sell up to 1,500,000 shares of Class A common stock under the registration statement of which this prospectus is a part, and Augustus Limited (and its permitted transferees) may sell up to 1,500,000 shares of Class A common stock under the registration statement. Trust Reorganization
Both Tak Tent (F) Limited and Augustus Limited acquired their shares of Class A common stock in connection with the May 2007 reorganization of The Thyssen-Bornemisza Continuity Trust. At the time of the reorganization, The Thyssen-Bornemisza Continuity Trust was the indirect owner of TBG Holdings N.V. (TBG), which in turn owned our principal stockholder, Urvanos Investments Limited. In connection with the reorganization of The Thyssen-Bornemisza Continuity Trust, TB Continuity II Trust, of which Georg Heinrich Thyssen-Bornemisza is the sole primary beneficiary, became the indirect owner of TBG and Urvanos.
Prior to the reorganization of The Thyssen-Bornemisza Continuity Trust, each of Tak Tent (F) Limited and Augustus Limited was a direct or indirect wholly-owned subsidiary of TBG. In connection with the reorganization of The Thyssen-Bornemisza Continuity Trust, the equity interests in Tak Tent (F) Limited and Augustus Limited were transferred to certain trusts established for the benefit of members of the Thyssen-Bornemisza family. Following the trust reorganization, none of TB Continuity II Trust, TBG, Urvanos or Georg Heinrich Thyssen-Bornemisza (the sole primary beneficiary of the TB Continuity II Trust and the chairman of the board of directors of TBG) has any economic interest in, or controls the activities of, either Tak Tent (F) Limited or Augustus Limited.
Following the trust reorganization, TBG, through its ownership of Urvanos, continues to have the power to exercise significant influence over our management and affairs and over all matters requiring stockholder approval. Registration Rights Agreements
In connection with the reorganization of The Thyssen-Bornemisza Continuity Trust, we agreed to amend and restate our existing registration rights agreement with Urvanos, and to enter into two new registration rights agreements with Tak Tent (F) Limited and Augustus Limited, respectively. We previously agreed to provide registration rights to entities affiliated with General Atlantic LLC. We have agreed to pay certain expenses under these agreements. These registration rights are described below. The agreements contain the full legal text of the matters described below. The agreements are filed as exhibits to the registration statement of which this prospectus is a part. See "Where You Can Find More Information" for more information on how to obtain a copy of these agreements.
Tak Tent (F) Limited and Augustus Limited
In connection with the reorganization of The Thyssen-Bornemisza Continuity Trust, we entered into agreements with each of Tak Tent (F) Limited and Augustus Limited that provide registration rights to these stockholders and their permitted transferees.
Each agreement provides for the registration of 1,500,000 shares of Class A common stock under a registration statement filed with the Securities and Exchange Commission pursuant to Rule 415 under the Securities Act. This prospectus is a part of the registration statement that we filed in accordance with our obligations under these registration rights agreements.
Under these agreements, Tak Tent (F) Limited and Augustus Limited are each entitled to sell 125,000 shares of Class A common stock per calendar quarter under the registration statement without offering us any right of first refusal to purchase these shares. However, if in any calendar quarter sales under the registration statement by Tak Tent (F) Limited would exceed 125,000 shares, or sales by Augustus Limited would exceed 125,000 shares, then any further sale by that holder under the registration statement in that calendar quarter must be in an amount of not less than 50,000 shares, and such shares must first be offered for sale to us (or our assignee) on the terms specified in the applicable registration rights agreement. We cannot predict whether our rights of first refusal will ever be triggered, and if triggered we cannot predict whether we or our assignee would exercise the purchase rights.
Urvanos
Immediately following the reorganization of The Thyssen-Bornemisza Continuity Trust, our principal stockholder Urvanos Investments Limited, a wholly-owned subsidiary of TBG, owned 13,750,000 shares of Class B common stock and 958,859 shares of Class A common stock. In connection with the trust reorganization, we amended and restated an agreement that provides registration rights to Urvanos and its permitted transferees.
At any time upon the written request of a holder, we will be required to use our best efforts to effect, as expeditiously as possible, the registration of all or a portion of a holder's Class A common stock, provided that the aggregate proceeds of the offering is expected to equal or exceed $50 million. The holders under this agreement are entitled to two demand registrations. However, we will not be required to effect more than one demand registration within any twelve-month period, and we will have the right to preempt any demand registration with a primary registration, in which case the holders will have incidental registration rights.
Under this agreement, a holder also has incidental rights to request that its shares be included in any registration of our Class A common stock, other than registrations on Form S-8 or Form S-4, registrations for our own account pursuant to Rule 415, or in compensation or acquisition-related registrations.

General Atlantic Entities
In October 2005, we agreed to provide registration rights under certain conditions with respect to the 4,687,500 shares of Class A common stock held by entities affiliated with General Atlantic LLC, upon the expiration in November 2007 of a two-year lock-up period agreed to at the time of the General Atlantic investment.

General Matters
The following description of our capital stock and the relevant provisions of our certificate of incorporation and bylaws are summaries thereof and are qualified by reference to our certificate of incorporation and bylaws, copies of which have been filed with the SEC as exhibits to our Annual Report on Form 10-K, and applicable law.
Our authorized capital stock consists of 80,000,000 shares of Class A common stock, $0.01 par value, 13,750,000 shares of Class B common stock, $0.01 par value, and 937,500 shares of preferred stock, which the board of directors may issue with or without par value.
Common Stock
Voting Rights. The holders of our Class A common stock and Class B common stock have identical rights, except that holders of our Class A common stock are entitled to one vote per share and holders of our Class B common stock are entitled to ten votes per share on all matters to be voted upon by the stockholders. Our certificate of incorporation provides that, so long as any shares of the Class B common stock are outstanding, no person or entity is permitted, without the approval of the board of directors, to vote more than 79.9% of the total combined voting power of all classes of stock entitled to vote. If a person would be entitled to vote more than 79.9% of the total combined voting power notwithstanding this limitation, then the excess voting power of such person will be allocated to the other shareholders on a pro rata basis for purposes of any vote. We have not provided for cumulative voting for the election of directors in our certificate of incorporation.
Dividend Rights. Subject to preferences that may be applicable to any outstanding preferred stock, the holders of Class A common stock and Class B common stock are entitled to receive ratably such dividends, if any, as may be declared from time to time by the board of directors out of funds legally available therefor. See "Market for the Registrant's Common Equity, Related Stockholder Matters and Issuer Purchases of Equity SecuritiesDividend Policy" in our Annual Report on Form 10-K for the year ended November 30, 2006, which is incorporated by reference herein. In the event a dividend is paid in the form of shares of common stock or rights to acquire common stock, the holders of Class A common stock shall receive Class A common stock, or rights to acquire Class A common stock, as the case may be, and the holders of Class B common stock shall receive Class B common stock, or rights to acquire Class B common stock, as the case may be.
Conversion. Our Class A common stock is not convertible into any other shares of our capital stock. Each share of Class B common stock is convertible at any time at the option of the holder into one share of Class A common stock. In addition, each share of Class B common stock shall convert automatically, without any action by the holder, into one share of Class A common stock upon the earlier of:

Once transferred and converted into Class A common stock, the Class B common stock shall not be reissued. No class of common stock may be subdivided or combined unless the other class of common stock concurrently is subdivided or combined in the same proportion and in the same manner.
Liquidation Rights. In the event of liquidation, dissolution, distribution of assets or winding up, the holders of Class A common stock and Class B common stock are entitled to share ratably in all assets remaining after payment of liabilities, subject to prior distribution rights of preferred stock, if any, then outstanding.
Other Matters. The Class A common stock and Class B common stock have no preemptive or other subscription rights. There are no redemption or sinking fund provisions applicable to the common stock. All outstanding shares of Class A common stock and Class B common stock are fully paid and non-assessable, and the shares of Class A common stock to be issued upon completion of this offering will be fully paid and non-assessable.
Preferred Stock
The board of directors has the authority to issue preferred stock in one or more series and to fix the rights, preferences, privileges and restrictions thereof, including dividend rights, dividend rates, conversion rights, voting rights, terms of redemption, redemption prices, liquidation preferences and the number of shares constituting any series or the designation of such series, without any vote or action by the stockholders. The issuance of preferred stock may have the effect of delaying, deferring or preventing a change in control and may adversely affect the voting, dividend and other rights of the holders of common stock.
At the closing of this offering, no shares of our preferred stock will be outstanding and, other than shares of our preferred stock that may become issuable pursuant to our rights agreement, we have no present plans to issue any shares of our preferred stock. See "Rights Agreement."
We have reserved 937,500 shares of our series A junior participating preferred stock to be made available upon exercise of our preferred share purchase rights.
Anti-Takeover Effects of Delaware Law and our Certificate of Incorporation and Bylaws
Under Delaware law, our certificate of incorporation and our bylaws contain certain provisions, which are summarized below, that:

Dual Class Structure. As discussed above, our Class B common stock has ten votes per share, while our Class A common stock, which is the only class which is publicly traded, has one vote per share. As of the date of this prospectus, all of our Class B common stock and a portion of our Class A common stock, collectively representing 76% of the voting power of our outstanding capital stock, is controlled by TBG Holdings N.V. (TBG), a Netherlands Antilles company, through its indirect sole ownership of our other principal stockholder, Urvanos Investments Limited, a Cyprus limited liability company. TBG is wholly-owned indirectly by a trust, the principal beneficiary of which is Georg Heinrich Thyssen-Bornemisza, the chairman of the board of directors of TBG.
Because of our dual class structure, TBG will continue to be able to control all matters submitted to our stockholders for approval even if they come to own significantly less than 50% of the shares of our outstanding common stock. This concentrated control could discourage others from initiating any potential merger, takeover or other change of control transaction that other stockholders may view as beneficial to them.
Classified Board. Our certificate of incorporation provides that our board of directors are divided into three classes of directors, with the classes to be as nearly equal in number as possible. As a result, approximately one-third of our board of directors are elected each year. The classification of directors has the effect of making it more difficult for stockholders to change the composition of our board. Our certificate of incorporation and bylaws provide that the number of directors will be fixed from time to time exclusively pursuant to a resolution adopted by a majority of the board but must consist of not less than three or more than fifteen directors.
Removal of Directors; Vacancies. Under the Delaware General Corporation Law (the "DGCL"), unless otherwise provided in our certificate of incorporation, directors serving on a classified board may be removed by the stockholders only for cause. Our certificate of incorporation and bylaws provides that directors may be removed only for cause and only upon the affirmative vote of the holders of at least 662/3% of the votes of the outstanding shares of our common stock entitled to be cast in the election of directors. In addition, our certificate of incorporation provides that any vacancies on our board of directors will be filled only by the affirmative vote of a majority of the remaining directors even if the number of directors voting would not constitute a quorum.
Supermajority Provisions. The DGCL provides generally that the affirmative vote of a majority of the outstanding shares entitled to vote is required to amend a corporation's certificate of incorporation or bylaws, unless the certificate of incorporation requires a greater percentage. In addition, our certificate of incorporation grants our board of directors the authority to amend our bylaws without a stockholder vote in any manner that is consistent with the laws of the State of Delaware and our certificate of incorporation. Our certificate of incorporation also provides that the following provisions in our bylaws may be amended only by a vote of 662/3% or more of all of the votes of the outstanding shares of our common stock entitled to be cast:
Authorized but Unissued Capital Stock. The DGCL does not require stockholder approval for any issuance of authorized shares. In addition, the listing requirements of the New York Stock Exchange, which will apply to us so long as our Class A common stock is listed on the New York Stock Exchange, only require stockholder approval of certain issuances that equal or exceed 20% of the then-outstanding voting power or then-outstanding number of shares of common stock (or, in the case of certain related-party and other transactions, 1% or 5% of the then-outstanding voting power or then-outstanding number of shares of common stock).
The ability to issue authorized but unissued capital stock could enable our board of directors to issue shares to persons friendly to current management, which issuance could render more difficult or discourage an attempt to obtain control of us by means of a merger, tender offer, proxy contest or otherwise, and thereby protect the continuity of our management and possibly deprive the stockholders of opportunities to sell their shares of stock at prices higher than prevailing market prices.
Undesignated Preferred Stock. The ability to authorize undesignated preferred stock makes it possible for our board of directors to issue preferred stock with voting or other rights or preferences that could impede the success of any attempt to acquire us. These and other provisions may have the effect of deterring hostile takeovers or delaying changes in control or management of our company.
Limits on Written Consent and Special Meetings. Our certificate of incorporation prohibits stockholder action by written consent. It also provides that special meetings of our stockholders may be called only by the Chairman of our board of directors or by our president or corporate secretary at the direction of our board of directors.
Advance Notice Requirements for Nominations. Our bylaws contain advance notice procedures with regard to stockholder proposals related to the nomination of candidates for election as directors. These procedures provide that notice of stockholder proposals related to stockholder nominations for the election of directors must be received by our corporate secretary, in the case of an annual meeting, no later than the close of business on the 90th day nor earlier than the close of business on the 120th day prior to the anniversary date of the immediately preceding annual meeting of stockholders. Limitations on Liability and Indemnification Matters. The DGCL authorizes corporations to limit or eliminate the personal liability of directors to corporations and their stockholders for monetary damages for breaches of directors' fiduciary duties. Our certificate of incorporation and bylaws provide that we must indemnify our directors and officers to the fullest extent authorized by the DGCL. If our board of directors redeems any of our rights, it must redeem all of our rights.
