Item 1.01 Entry into a Definitive Material Agreement
On April 30, 2014, Sterling Construction Company, Inc. (the Company) entered into an underwriting agreement (the Underwriting Agreement) with D.A. Davidson & Co. as the sole underwriter (the Underwriter), pursuant to which the Underwriter agreed to purchase from the Company 2,100,000 shares of the Companys common stock, par value $0.01 per share (the Common Stock), to be resold to the public at a price of $7.30 per share.
The Underwriting Agreement contains customary representations, warranties and agreements of the parties, and customary conditions to closing, obligations of the parties and termination provisions. The Company has agreed to indemnify the Underwriter against certain liabilities, including liabilities under the Securities Act of 1933, or to contribute to payments the Underwriter may be required to make because of any of those liabilities.
The Company intends to use the net proceeds from the offering to repay indebtedness outstanding under its revolving credit facility and for general corporate purposes.

Item 7.01 Regulation FD Disclosure.
On May 6, 2014, the Company announced the closing of its previously announced bought deal offering of 2,100,000 shares of Common Stock.
The offering is described in the Companys registration statement on Form S-3 (Registration No. 333-195087) and the related final prospectus dated April 30, 2014 filed with the Securities and Exchange Commission under Rule 424(b) of the Securities Act of 1933 on May 1, 2014. A copy of the press release dated May 6, 2014 is furnished as Exhibit 99.1 hereto and is incorporated herein by reference.
