Item 5.07. | Submission of Matters to a Vote of Security Holders. |
Burlington Stores, Inc. (the Company) held its annual meeting of stockholders (the Annual Meeting) on July 17, 2015. A total of 66,680,540 shares of the Companys common stock, representing approximately 88.11% of the shares outstanding and eligible to vote and constituting a quorum, were voted at the Annual Meeting. The Companys stockholders voted on the following proposals at the Annual Meeting:
| the election of three directors of the Company to serve for a term of three years; |
| the ratification of the appointment of Deloitte & Touche LLP as the Companys independent registered certified public accounting firm for the fiscal year ending January 30, 2016; and |
| an advisory vote regarding the compensation of the Companys named executive officers. |
The stockholders elected all three directors presented, ratified the appointment of Deloitte & Touche LLP as the Companys independent registered certified public accounting firm for the fiscal year ending January 30, 2016 and approved the advisory vote to approve executive compensation.
The proposals are described in more detail in the Companys Definitive Proxy Statement on Schedule 14A filed with the Securities and Exchange Commission on June 1, 2015. The final voting results with respect to each proposal are set forth below.
