Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On April 6, 2011, the Compensation and Management Development Committee of the Company’s Board of Directors approved compensation arrangements for Robert A. Ruff, President of the Company’s Asia Pacific Region, in connection with his assignment and relocation to Hong Kong beginning July 1, 2011. Mr. Ruff will receive the Company’s standard relocation and expatriate package, with payments or allowances for related expenses including the difference in cost of living, housing, transportation, tax equalization and training. The estimated annual cost of these arrangements is $755,000.
