The Registrant has not yet completed the Results of Operations or
the Management's Discussion and Analysis of the Form 10-QSB for the period
ending September 30, 2001 due to the fact that they are awaiting certain
financial information. The Registrant believes that the Form 10-QSB will be
filed within the extension period.
