ITEM 5.02 DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS.

Departure of Director

     On May 25, 2007, Samuel L. Milbank announced his intent to resign his position as Director for Advanced Environmental Recycling Technologies, Inc. (the “Company”), effective June 1, 2007. Mr. Milbank indicated his resignation was the result of his concern that he would not have sufficient time to participate effectively on the Board of Directors of the Company due to substantial other commitments.
