(d)       TRANSFER OF LISTING

On December 1, 2008, Jack in the Box Inc. (the Company) provided notice to the New York Stock Exchange (the NYSE) that it expects to voluntarily cease trading on the NYSE, where the Company's common stock is currently traded under the symbol "JBX," effective at market close December 12, 2008, and that it intends to transfer its listing to the Nasdaq Global Select Market (NASDAQ).  The Company's shares of common stock have been approved for listing on NASDAQ and will trade under the symbol "JACK" effective December 15, 2008.  A copy of the press release announcing the switch to NASDAQ is attached as Exhibit 99.1 to this report.
