OTHER EVENTS

On June 3, 2013, Wheeler Real Estate Investment Trust, Inc., a Maryland corporation, entered into a Promissory Note (the “Note’) with Monarch Bank for a $2,000,000 line of credit. The Note matures on August 15, 2013, provides for an interest rate of 4.5% per annum and is guaranteed by a Deed of Trust and Assignment of Rents on real property located at 10 Surrey Plaza, Hawkinsville, Georgia and a Leasehold Deed of Trust and Assignment of Rents on real property located at 160 W. Fletcher Ave., Tampa, Florida.
