On September 21, 2018, Peabody Energy Corporation, a Delaware corporation (the Company), issued a press release announcing that it had entered into a definitive agreement with Drummond Company, Inc. relating to the purchase of the Shoal Creek metallurgical coal mine located on the Black Warrior River in Central Alabama. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
