     On June 28, 2002, Ventas, Inc. (the "Company") announced the resignation of
its executive vice president John C. Thompson. A copy of the press release
issued by the Company on June 28, 2002 is included as Exhibit 99.1 to this
Current Report on Form 8-K and is incorporated herein by reference.
