(d) The Board of Directors of
Heska Corporation (the “Company”) has elected Elisabeth DeMarse to the Company’s Board of Directors effective September 30, 2004. The Board
did not appoint Ms. DeMarse to serve on any of the committees of the Board immediately, but may do so in the future.
