EXPLANATORY NOTE
This Post-Effective Amendment on Form S-8 to Form S-4 Registration Statement relates to the offering of 9,082,680 shares of the Registrants Common Stock ($0.001 par value per share) issuable pursuant to the exercise of options outstanding under the Viral Genomics, Inc. Equity Compensation Plan. Pursuant to the Amended and Restated Agreement and Plan of Merger (the Merger Agreement) by and among Inovio Biomedical Corporation, Inovio Acquisition, LLC and VGX Pharmaceuticals, Inc., the Registrant assumed all of the outstanding options to purchase stock of VGX Pharmaceuticals, Inc. and, as a result of such assumption, such stock options now reflect the right to acquire shares of the Registrants Common Stock, subject to appropriate adjustments to the number of shares and exercise price of each such option. The shares of the Registrants Common Stock issuable upon exercise of such options were previously registered on the S-4 Registration Statement. Pursuant to Rule 416(a) under the Securities Act of 1933, as amended (the Securities Act), this Registration Statement shall also cover any additional securities that may be offered or issued in connection with any stock dividend, stock split, recapitalization or other similar transaction.

Under Section 145 of the Delaware General Corporation Law (the DGCL), a corporation has the power to indemnify its directors and officers under certain prescribed circumstances and, subject to certain limitations, against certain costs and expenses, including attorneys fees, judgments, fines and amounts paid in settlement, actually and reasonably incurred in connection with any threatened, pending or completed action, suit or proceeding, whether criminal, civil, administrative or investigative, to which any of them is a party by reason of his being a director or officer of the corporation if it is determined that he acted in accordance with the applicable standard of conduct set forth in such statutory provision. The Registrants Certificate of Incorporation provides that, pursuant to

the DGCL, its directors shall not be liable for monetary damages for breach of the directors fiduciary duty of care to us and our stockholders. This provision in the Certificate of Incorporation does not eliminate the duty of care, and in appropriate circumstances equitable remedies such as injunctive or other forms of non-monetary relief will remain available under Delaware law. In addition, each director will continue to be subject to liability for breach of the directors duty of loyalty to the Registrant of its stockholders, for acts or omissions not in good faith or involving intentional misconduct or knowing violations of the law, for actions leading to improper personal benefit to the director, and for payment of dividends or approval of stock repurchases or redemptions that are unlawful under Delaware law. The provision also does not affect a directors responsibilities under any other law, such as the federal securities laws or state or federal environmental laws.
Section 7 of the Registrants Bylaws provides that the Registrant will indemnify, to the fullest extent authorized by the DGCL, each person who was or is made a party or is threatened to be made a party to or is involved in any action, suit or proceeding, whether civil, criminal, administrative or investigative, by reason of the fact that he or she is or was a director or officer of the Registrant, whether the basis of such proceeding is alleged action in an official capacity as a director or officer or in any other capacity while serving as a director or officer against all expenses, liability and loss reasonably incurred or suffered by such person in connection therewith. The Registrant also has directors and officers liability insurance.
