Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On October 14, 2015, SM Energy Company (the Company) entered into Change of Control Executive Severance Agreements with its named executive officers (the Agreements). The Agreements are effective January 1, 2016, and the previously disclosed existing change of control agreements (the Existing Agreements) with the named executive officers will expire on December 31, 2015. The terms of the Agreements are substantially the same as the Existing Agreements, except the Agreements provide that if a Change of Control (as defined in the Agreements) occurs and within two and a half years of that event, the executives employment is terminated by the Company for any reason other than cause or disability, or the executive leaves for certain specified reasons, then the Company will make the following payments to the executive: (a) all compensation accrued but not paid prior to the termination; (b) a lump sum amount equal to 200% of the executives base salary and target short-term incentive plan cash bonus; (c) a lump sum amount equal to the executives pro rata target short-term incentive plan cash bonus for the year in which employment is terminated; and (d) a lump sum amount equal to 24 multiplied by the Companys then monthly contribution for medical, dental, and vision insurance on behalf of the executive and his or her family.
