Equity Residential today announced that its operating partnership, ERP Operating Limited Partnership (the Operating Partnership), has commenced a cash tender offer for any and all of its 6.95% Notes due March 2, 2011, 6.625% Notes due March 15, 2012 and 5.50% Notes due October 1, 2012 and a cash tender offer for any and all of its 3.85% Exchangeable Senior Notes due August 15, 2026 (collectively, the Offers). Additional terms and conditions of the Offers, are set forth in the Operating Partnerships Offer to Purchase dated December 2, 2009 and the related Letter of Transmittal.
A copy of Equity Residentials press release announcing the Offers is filed herewith as Exhibit 99.1.
The press release is neither an offer to purchase nor a solicitation to buy any of the Notes nor is it a solicitation for acceptance of the Offers. The Operating Partnership is making the Offers only by, and pursuant to the terms of, the Offer to Purchase and the related Letter of Transmittal.
